TERMS AND CONDITIONS FOR THE PROMOTIONAL OFFER 

 1.  DEFINITIONS: 

1.1.  "Participant": means the person or company who elects to take up the Promotional Offer and meets the eligibility criteria. 

1.2.   "Promotional Item": means the gift card awarded to Selected Participants under this Promotional Offer as further described in clause 5. 

1.3.   "Qualified Demo": means a minimum 30-minute demonstration of the Clickatell product, led by a Clickatell representative via online video conference or in person where applicable. 

1.4.  "Selected Participant": means the Participant who is awarded a Promotional Item by Clickatell based on the eligibility and selection criteria outlined herein. 

2.  INTRODUCTION 

2.1.   These terms and conditions govern the promotional offer (“Promotion”) provided by Clickatell to selected Participants from 24 March 2025 until no later than 30 June 2025, or such earlier date as determined by Clickatell. Clickatell reserves the right to terminate the Promotion at any time for any reason, with notice posted on its website. 

2.2.   Any entries submitted after 30 June 2025 will not be accepted, and such persons or companies will not be eligible to receive a Promotional Item. 

3.  ELIGIBILITY 

3.1.   To participate in this Promotion, you must be a natural person over the age of 18 years or a representative of a registered company operating in the Republic of South Africa. 

3.2.   The following persons are excluded from participating in the Promotion: 

3.2.1.  Existing or former customers of Clickatell, regardless of prior engagement duration. 

3.2.2.  Directors, employees, agents, or consultants of Clickatell or any person or entity directly or indirectly controlling or controlled by Clickatell. 

3.2.3.  Directors, employees, agents, or consultants of any supplier of goods or services in connection with this Promotional Offer. 

3.2.4.  Spouses, life partners, business partners, or immediate family members of the persons referred to in clauses 3.1 and 3.2. 

4.  HOW TO ENTER 

4.1.   To qualify, the Participant must respond to Clickatell's direct communication or advertisement and meet all eligibility requirements in Clauses 3 and 5. 

4.2.   Responding to the advertisement does not automatically qualify a Participant for the Promotional Item. Clickatell reserves the right to determine eligibility at its sole discretion. 

4.3.   Selected Participants must complete the full Clickatell Demo. Demos that are canceled or left incomplete will not qualify for the Promotional Item. 

4.4.   Clickatell’s decision regarding eligibility, selection, and allocation of the Promotional Item is final. No correspondence or dispute regarding such decisions will be entertained. 

4.5 Clickatell reserves the right to disqualify any Participant found to have provided false information, engaged in fraudulent activity, or attempted to manipulate the Promotion. 

5.  THE PROMOTIONAL OFFER: 

5.1.   **Gift Card** 

5.1.1.  Gift cards valued at R250 will be awarded to Selected Participants who successfully complete the Qualified Demo. Participants who do not complete the full demo will not be eligible. 

5.1.2.  If the Selected Participant is a company, the company shall nominate a recipient for the Gift Card. The Gift Card will be awarded in the company’s name, and the company will be responsible for distributing it accordingly. 

5.1.3.  By participating, the Selected Participant acknowledges that Clickatell is not liable for any breaches of anti-corruption or anti-bribery laws or internal company policies concerning receipt of gifts or participation awards. 

5.2.  Promotional Items are non-transferable, non-refundable, and cannot be exchanged for cash. 

5.3 Any tax liability or reporting obligation arising from the receipt of the Promotional Item shall be the sole responsibility of the Selected Participant. 

6.  LIMITATION OF LIABILITY 

6.1.  Participants agree to indemnify and hold Clickatell, its affiliates, and representatives harmless from any claims, damages, or liabilities arising from participation in this Promotion or use of the Promotional Item. 

6.2.   The Promotional Item is provided "as is." Clickatell does not guarantee its suitability for any specific purpose and is not liable for any direct or indirect damages resulting from its use. 

6.3.   Gift Cards are issued by a third party, and their terms and conditions apply. Clickatell is not responsible for expired, lost, or unused Gift Cards. 

6.4.   Clickatell shall not be liable for financial losses arising from refusal, cancellation, or withdrawal of the Promotional Item or the Selected Participant’s inability to use the Promotional Offer. 

6.5 Any reasonable disputes relating to this Promotion shall be resolved through direct mediation between the Parties. 

6.6 Clickatell shall not be responsible for any failure or delay in performing its obligations under these terms due to events beyond its reasonable control, including but not limited to natural disasters, government actions, network failures, or cybersecurity incidents. 

7.  GENERAL 

7.1.   By entering the Promotion, Participants consent to Clickatell processing their personal information for promotional and operational purposes. Data will be processed in accordance with applicable data protection laws. 

7.2.   Participants may opt out of promotional communications at any time by contacting Clickatell. 

7.3.   Clickatell reserves the right to verify Participants’ identity, age, and residency and to disqualify any Participant found to be in breach of these terms. 

7.4.   Clickatell reserves the right to amend these terms with reasonable notice, and such amendments will be communicated via Clickatell’s website or social media pages. 

7.5 By participating in this Promotion, Participants agree to these terms and conditions.
